Terms of Service

1. Acceptance of Terms
By accessing or using CodeHerder (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Service. These Terms form a binding legal agreement between you and CodeHerder ("we," "us," or "our").
If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" and "your" in these Terms mean that organisation.
2. Description of the Service
CodeHerder is an agent-orchestration platform that lets you staff a backlog of software engineering tasks across a fleet of devices and AI coding agents. The Service provides task management, workflow automation, and real-time visibility into the activity and costs associated with your agents.
The specific features available to you depend on your subscription plan. We reserve the right to add, modify, or discontinue features at any time with reasonable notice where practicable.
3. Changes to the Service
We continually improve the Service. We may update, modify, or discontinue any aspect of it at any time. For material changes that reduce core functionality, we will endeavour to provide advance notice through the Service or by other reasonable means. Your continued use of the Service after such changes constitutes acceptance of the updated offering.
4. Accounts & Registration
You must create an account to use the Service. When registering, you agree to provide accurate and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You may not share your account with others or create accounts for any purpose other than legitimate use of the Service. You must notify us promptly through the in-app account settings if you become aware of any unauthorised access to or use of your account.
We may suspend or terminate accounts that we determine, in our sole discretion, have been used in violation of these Terms.
5. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree to use the Service only for lawful purposes and in accordance with that policy.
6. Intellectual Property
The Service and its underlying technology, software, design, text, graphics, logos, and other content created by us are owned by or licensed to CodeHerder and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, trade names, or other proprietary materials without our prior written consent.
You retain ownership of all content, code, tasks, and data you submit to or generate through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive licence to process and store Your Content solely as necessary to provide the Service to you.
You represent and warrant that you own or have the necessary rights to Your Content and that it does not infringe any third-party intellectual property rights.
7. Third-Party Services
The Service facilitates orchestration of tasks using AI providers and code-hosting platforms that you connect (such as AI model APIs and source-control hosts). You are responsible for your own accounts and credentials with those third-party providers, and your use of them is governed by their respective terms and privacy policies. We have no control over, and accept no liability for, the actions or omissions of any third-party service.
We may also integrate with other third-party tools to deliver the Service. We will update the list of sub-processors in our Privacy Policy as integrations change.
8. Disclaimers of Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
Some jurisdictions do not allow the exclusion of certain warranties, so the above exclusions may not fully apply to you.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODEHERDER, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS (US $100).
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
10. Indemnification
You agree to defend, indemnify, and hold harmless CodeHerder and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgements, penalties, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your infringement of any rights of a third party.
11. Termination
You may terminate your account at any time by managing your subscription in the app at app.codeherder.com. Upon termination, your right to use the Service ceases immediately.
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Service. We will endeavour to provide reasonable advance notice of Service discontinuation.
Provisions that by their nature should survive termination — including ownership provisions, warranty disclaimers, indemnification, and limitations of liability — will survive any termination of these Terms.
12. Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you through the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
13. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
